The settlement terms are given in full at https://dao.hypha.earth/hypha/agreements/66913 (attached below). The obligations arose surrounding the creation of SEEDS Commons and the joint intention of Hypha and Commons to transfer the public sale of SEEDS to the benefit of the Commons. The intended software changes to implement that transfer never occurred, so receipts (primarily as Bitcoin and EOS) continued to accumulate into Hypha treasury accounts, intermingled with other Hypha funds. Approximately 167,000 SEEDS were sold for approximately $16,000 worth of cryptocurrency. After some adjustments, $9500 of liability remains from Hypha to SEEDS. Reciprocally, SEEDS owes Hypha reimbursement of the 167,000 SEEDS sold. Under this agreement, 1. The SEEDS Collaboratory DAO is officially recognized as the successor to SEEDS Commons, 2. SEEDS Collaboratory and Hypha will cooperatively manage $9500 as HUSD, spending it primarily on software development which benefits the SEEDS community; this development being generally performed by Hypha staff. A separate proposal covers the transfer of 79 million milestone SEEDS to the Collaboratory. Passing these two proposals will provide full closure to the finances of the SEEDS Commons.
